DENÍK also uses a unified internet domain www.denik.cz. The regional issues of DENÍK are a natural and reliable carrier for an advertisement. Our business clients can take advantage of unique advertisement segmentation in the DENÍK issues and VLP advertising network and advertise at a national or regional level in any individual title. The regional daily papers represent a unified system in terms of editorial and advertising, which is overall able to compete with the national daily papers. GENERAL TECHNICAL CONDITIONS OF THE PROCESSED ADVERTISING MATERIALS 2.1. Types of advertisements according to colour and minimum dimensions: Colour scheme - black and white advert: min. dimension 20 mm / column Colour scheme - colour advert (CMYK or Complementary Colour): min. dimension 200 mm / column Spot colour can be one of CMYK colours only. Materials containing such inks are accepted only in the CMYK composition. SPOT COLOURS ARE NOT APPLIED ACCORDING TO THE PANTONE SAMPLE CHART. In the event of advertising in the UCHO format, it is necessary to choose from a suitable colour background, for example a light background with darker letters. We do not recommend using negative lettering in the background. Considering the size of the UCHO format, the most suitable lettering would be in the size larger than 6 dots. Simple text, for example in PR articles should use font of 6-12 dot size and 100% black ink. Materials in RGB colors have to be converted to CMYK. Small color changes could happen during color conversion. In the event that the above mentioned conditions are not complied with, we cannot guarantee good printing quality and therefore any warranty claim will not be accepted. 2.2. Accepted advertising materials: VLP will accept source materials only in the digital data form (no film or plate).
2.3. Complete source material must contain the following: One optimized PDF file, text in curves or one optimized EPS file, text in, resolution 300 DPI Colour preview JPG file Contact Iinformation to the creator of the source materials (contact person, address, telephone and e-mail contact). 2.4. Naming convention: The name of the advertisement file must be in the following form: Advertiser Name_Title Name_Pub Date.File Type Eextension Example: XXXX_DČR_0303.pdf, info.doc or info.txt. Compressed file must be in the same format; it can only differentiate in the abbreviation of the compressed format. Example: XXXX_DČR_0303.zip 2.5. Compressed advertising data: It is not necessary to compress PDF files (a correctly created advertising file already uses compression) An EPS file is recommended to be externally compressed zipped (max. volume of compressed data: 20 MB) an information file does not need to be compressed 2.6. Insertion of promotional enclosures Enclosures are inserted into the entire edition of the daily paper; this is also done for some mutations of the local daily papers. The shortest deadline for placing an order is ten days prior to publishing. If this insert is not in line with the required format or processing, it is necessary to supply prior to the order placement, a sample of the enclosure in at least five copies for each printshop where the enclosure will be produced (100 Pcs in the event of a highly non-standard enclosure) due to insertion tests. Further information regarding the insertion of promotional enclosures will be mailed. In the event of a request and a subsequent order for insertion, it is necessary to mail the technical parameters of the enclosure (paper type, grammage, number of pages and format). Due to technological reasons, the quantity of the enclosure must by approximately 2% higher than the actual ordered number of inserts.* The deadline for the delivery of the enclosures to the final destination is at the latest, three working days prior to the date of insertion; shipping is to be organized by the customer. In the event that the enclosures will not be supplied to the final destination three days prior to the date of insertion, a cancellation fee of 10% of the total price for the insertion can be charged. The General Business Conditions of the publishing house VLTAVA-LABE-PRESS, a.s., (hereinafter referred to as the VLP) (for advertisements and leaflet enclosures in VLP) 1. Scope of validity a) These General Business Conditions regulate the advertisement publishing rules and promotional enclosures in the papers published by the VLP as well as in other printed matter published by the VLP. b) The currently valid pricelist is included in the General Business Conditions. c) The legal relations not regulated by these General Business Conditions or by a special contract will be governed by the Commercial Code. 2. Order a) The client is to order the publishing of an advertisement or a promotional enclosure in the form of a written order. b) The order must contain all necessary terms required for regular publishing, particularly including: The clients company, address, company ID, tax ID numbers, bank details, name and signature of the representative authorised to place the order. In the case of orders placed by individuals, the name, birth number or date of birth, permanent residency, bank details and signature will be required. The order also needs to contain the title, date of publishing, type (for example area of advertisement, line advertisement, promotional enclosure) and eventually further details regarding order processing (for example the unit of coverage, position, section, reference, colour). c) The client is responsible for the timely provision of all details required for order implementation. The VLP may notify the client regarding any obviously unsuitable or erroneous data. The client is obliged to provide the VLP with compensation for obviously unsuitable or erroneous data. If the client will provide a replacement for obviously unsuitable or erroneous data late or in the event that the client will insist on the use of the obviously unsuitable or erroneous data, the VLP will have the right to withdraw from the contract as well as to apply a cancellation charge in accordance with the currently valid pricelist. The quality of the print will correspond with the technical standard of the relevant title and with the printed data supplied by the client. d) The client will guarantee error free content and that the texts, picture and graphic materials for the advertising purposes or promotional enclosures will be in accordance with the legal regulations. In the event that any demands are raised by the third party, the client will be obliged to take over the obligations from such demands or will be obliged to compensate the VLP for damages arisen with the publishing of an error or a legally unacceptable advertisement or promotional enclosure. e) The VLP will receive all necessary documents for publishing the advertisement or the promotional enclosure and the VLP will not be obliged to save such data or return it to the client. 3. Contract conclusion a) The contract conclusion will be upon order confirmation by the VLP (in writing directly on the order or in any usual manner). In the event that the order will not be confirmed by the VLP, publishing of the advertisement or the promotional enclosure will be considered as the conclusion of the contract instead. b) Acceptance of the order by a VLP employee without further terms cannot be considered as a contract conclusion. c) The VLP is always entitled to withdraw from the contract in the event of a justified presupposition that publishing the advertisement or the promotional enclosure from the point of content, text, graphic or picture is against the interests of the VLP or against valid legal regulations. d) In the event that there will be any justified doubts regarding the clients solvency and if there will not be reasonable payment made in time upon the request of the VLP, the VLP shall reserve the right to withdraw from the contract. e) In the event of order cancellation by the client after acceptance by the VLP, the VLP will be entitled to apply cancellation charges in accordance with the currently valid pricelist. The order cancellation by the client must always be executed in written form. 4. Frame contract a) In the event that the client intends to publish the advertisement within a certain period, with a certain printing area range or in a certain number, a frame contract may be concluded with the VLP with the duration period of one year, regarding the publishing of advertisements in the previously agreed number or volume. The frame contract will be valid in written form and must specify the fixed time period during which the agreed range of the image area for the advertisement or the agreed number of advertisements will be printed; the contract must also include any agreed discounts, the applied title, the cover unit and any possible further agreements. b) The order will always be required to allow for the publishing of the advertisements within the agreed range of the image area or the volumes as stated in the frame contract. 47
General Conditions 48 The General Business Conditions of the publishing house VLTAVA-LABE-PRESS, a.s., (hereinafter referred to as the VLP) (for advertisements and leaflet enclosures in VLP) c) The discounts resulting from the frame contract will be provided only under the condition that the advertisements will be published in the agreed range of the image area or in the agreed numbers during the time period stated in the frame contract and the price will be paid according to the valid pricelists (possibly in the agreed level). d) The client is entitled to order further advertising above the framework of the agreed range of the image area or the agreed number of advertisements via the frame contract. In this case the client will be entitled to larger discount. e) In the event that the advertisements have not been published during a fixed time period in the agreed area space or in the agreed number of issues from the reasons for which the VLP does not bear responsibility, the client is obliged to pay VLP the difference between the price for the agreed and the actually published size of the advertisement image or the number of advertisements. This difference will be reduced discounts for the actually published size of the advertisement image or the number of advertisements. 5. Order implementation a) In the event that the deadline for the publishing of the advertisement or the promotional enclosure is not explicitly agreed, the publishing then depends on the VLP capacity. b) If the exact placement or a certain cover unit for the advertisements or the promotional enclosure publishing is not explicitly agreed, the publishing will then be dependant on the VLP capacity. c) The order for advertisements or promotional enclosures which must be implemented within the specific deadline with a specific placement or in the specified unit of the cover must be reported to the VLP in time, in order that it can be confirmed with the client. d) The advertisements are published in the relevant column without the requirement for a specific agreement according to VLP capacity. e) VLP shall reserve the right to mark the advertisements as paid advertising. f) In the event that the client will order an advertisement in a size which is not in line with the dimensions of the mirror or the division of the page by columns, the VLP will amend the adverts in the routine method. g) In the event that the client will order an advert not processed in graphics, the VLP will process this advertisement in the routine method. Proofreading is only provided upon the request of the client. The client is responsible for the correct and complete proofreading sent back to the VLP. The VLP must consider the proofreading reported within the fixed time period. h) The VLP is obliged to collect, hand over or mail the received answers to the advertisements published under the reference number, for the period of six weeks since the publishing of the advertisement. Responses to the advertisements under the reference number, received after this period can be liquidated by the VLP. i) The VLP looks after the answers received to the advertisements published under reference numbers with the care of a fair business partner. j) The VLP does not accept responsibility for the replies to the advertisements published under the reference number if they exceed the C4 format (228 x 325 mm), as well as books, catalogues, parcels or goods. 6. Payment conditions a) If the parties will not agree differently, the VLP will mail the client with an invoice without any delay, as soon as the advertisement or the promotional enclosure is published, normally within 7 days from publishing. The invoice will be payable within 14 days from the day of taxation. b) The invoice issued by the VLP will be also accompanied with the proof of the advertisement or a promotional enclosure published upon the client s request. Depending on the type and range of the order, the VLP usually provides cut offs, pages, the daily paper issue or a copy of the advertisement printed on the invoice. In the event that such records cannot be obtained, the client will receive from the VLP confirmation regarding the publishing of the advertisement or the promotional enclosure. c) In the event of a payment delay, the client will be obliged to pay interest for late payment in the statute level as well as costs related to the recovery of the invoiced sum or partial payments. The VLP may refuse to implement further orders in the event of late payments, including orders from the frame contract or their implementation may be made dependant on adequate payments in advance. d) In the event that the client will not specify the exact size of the advertisement and will leave this decision to the VLP, then the basis for the calculation of the costs will be the type of advertisement and the actually published size of the advertisement.
e) The discounts stated in the currently valid pricelist are provided only for the advertisements published and paid for during the time period of one year. This time period commences on the date of the publishing of the first advertisement and finishes on the last day of the relevant calendar year. f) The client has the right to request discounts according to the currently valid pricelist, depending on the actually published range of the advertisement image area or on the number of advertisements within the time period of one year. The client has the right to file a claim 14 days after termination of the contract at the latest, based on the claimed discount. g) A discount in the level of 15 % from the basic price will be provided to the advertising agents approved by VLP. It must be anticipated that the order is presented directly by the advertising agent, who is at the same time responsible for submitting the data. The advertising agents must present a business licence or the statement from the Business Register upon request as proof of their business activity. h) In the event that the client (especially an advertising and media agency) orders an advertisement on behalf of a third party, the right for discounts as per the valid pricelists will not apply. i) The VLP reserves the right to issue different prices for special issues, other than those currently stated in the valid pricelist. j) In the event that the order will not be implemented due to reasons for which the VLP or the client will not bear any responsibility, and the advertisement or the promotional enclosure cannot be published in the replacement term, the client is obliged to pay the VLP only those costs related to the order which will arise up to the date and can be proven. k) Eventual amendments to these General Business Conditions or to the currently valid pricelist will be reported by the VLP to the client who has a frame contract with the VLP according to point 4 of these General Business Conditions within a time period of a minimum of one month prior to the validity of these amendments. In the event that the VLP will breach this time period, the orders made prior to this amendment to the General Business Conditions or to the pricelist will be made according to the previously valid General Business Conditions or according to the previously valid pricelist for the maximum period of three months from the beginning of the validity of the General Business Conditions or of the new pricelist. l) The client shall accept that the VLP is not responsible for any deviations in the size of the printed advertisement in the range from 0.5 % of the requested size, originated due to the technological process during the production of the title. m) The VLP reserves the right to demand payment in advance. In the event of payment in advance, the relevant amount must be credited to the VLP account 4 days prior to the publishing of the advertisement. In the event that the advertisement will be in the Friday enclosure TRH PRÁCE, it will be 7 days prior to publishing deadline. n) In the event that the outstanding debt will not be paid within the agreed deadline, the client will lose the right to all provided discounts. The client will in this case be obliged to pay the full order price. o) The VLP reserves the right to fix the price of the advertisements. p) All prices in the advertising pricelist are stated without VAT. The VAT rate is governed by the valid law of the ČR. r) The VLP reserves the right to fix an additional charge for PR or Advertorial advertising. 8. Reclaim replacement act a) The client is entitled to a discount in the event of a partial error in the publishing of the advertisement or in the promotional enclosure or if agreed with the VLP, for free publishing of the replacement advertisement but only within the range, in which the purpose of the advertisement or the promotional enclosure was weakened. In the event that the VLP will not publish the replacement advertisement in the agreed time period, or if this replacement advertisement will be issued with an error once again, the client has the right to a discount or to withdraw from the contract. b) In the case of repeated advertisement publishing or promotional enclosures, the client is obliged to check immediately after each publishing if the advertisements are correct and complete. The VLP will not accept any demands for the free publishing of a replacement advertisement in the event that the same error appeared in the repetition publishing and such an error was not reported to the VLP immediately after the publishing. c) The advertisement may be reclaimed only within 10 working days from receiving the documentation regarding the publishing of the advertisement. The completion protocol and the proof of mailing the issues are used as documentation for the publishing of the advertisement in the national issue of the paper. The right for compensation is possible only in the daily paper and the region or the district where the advertising occurred. d) In the event that the client will not file the claim in the stated time period, the right to a claim is lost. e) The claim for the non-supply of documentation issues can be executed within eight working days from the publishing of the advertisements. f) In the event of typography, printing or insertion errors which are on the part of the client which were not obvious upon the acceptance of the order, the client has no right to a discount or free publishing of a replacement advertisement. 9. Data protection The client and the VLP hereby declare to protect all information and personal data which is mutually provided in regard to order implementations from any misuse. 49
